Terms of Service

1. Who we are

These terms are between you and Inovio Waves Solution Corp. (“Stein & Day”, “we”, “us”), a registered corporation, of 7 East 48th Street, New York, NY 10017.

We are an independent publishing services company. We are not the Stein & Day publishing house that operated from 1962 to 1989, we are not run by its founders and we are not a continuation of it. We do not claim any rights to the books it published.

2. What we do

We provide services to authors: book writing, editing, publishing preparation and setup, marketing, and specialist work for cookbooks and children’s books. We are paid for the work we do. We do not acquire manuscripts, pay advances or take a share of royalties.

3. Quotes and agreements

• Every project starts with a written quote that lists what is included, what is not, the price and an estimated timeline.
• Quotes are valid for 30 days.
• Work begins only after you accept the quote in writing and the first payment has cleared. The quote and these terms together form the agreement.
• Changes to the scope after acceptance are quoted separately and need your written approval before we do them.

4. Payment

• Payment schedule: a deposit on acceptance and milestone payments upon approval of each milestone.
• Accepted payment methods: Major credit/debit cards, bank wire transfer, and ACH.
• Third party costs (printing, advertising spend, illustrator fees, stock images, ISBN purchases where applicable) are listed separately in the quote and are paid by you.
• Invoices are due within 14 days. We may pause work on overdue accounts.
• Prices are in USD ($) and exclude applicable taxes.

Cancellations and refunds are covered by our Refund and Cancellation Policy, which forms part of these terms.

5. Your responsibilities

• You confirm that the material you give us is yours to use, or that you have permission for it, and that it does not infringe anyone else’s rights or break the law.
• You provide feedback and approvals within the times agreed in the schedule. Delays on your side may move the timeline.
• You are responsible for the accuracy of facts, claims and advice in your book. We may point out concerns, but we do not provide legal, medical or financial review.
• You keep copies of your own material. We take reasonable care of files but are not a backup service.

6. Ownership and rights

• You keep the copyright in material you give us.
• For writing services, copyright in the manuscript we produce is assigned to you when the project is complete and fully paid. Until then, we keep it as security for payment.
• For design work, you receive the rights set out in the quote, which are usually full rights to use the cover and interior for your book in all formats. Fonts, stock images and illustrations may carry their own licences, which we explain in the quote.
• Illustrators are separate creators. Their rights and your licence are agreed in writing before illustration starts.
• ISBNs, retail accounts and distribution accounts are registered in your name. We may hold logins during setup and hand them over on completion.
• We will not name you or your book in our marketing without your written permission.

7. Timelines

Timelines in quotes are estimates based on typical projects. They depend on the length of the work, the number of revisions and how quickly feedback arrives. We will tell you promptly if a date is likely to move. Timelines are not guarantees, and a delay does not by itself entitle you to a refund except as set out in the Refund and Cancellation Policy.

8. No promises about results

We do not promise, and you should not rely on any statement implying, particular sales, rankings, reviews, bestseller status, media coverage, income or any other result from publishing or marketing your book. We do promise to do the work described in your quote with reasonable skill and care.

9. Confidentiality

We keep your manuscript, your plans and your personal details confidential, and the people working on your project are bound by the same duty. See our Privacy Policy for how we handle personal data.

10. Liability

To the extent the law allows, our total liability for any claim relating to a project is limited to the amount you paid us for that project. We are not liable for indirect losses such as lost sales, lost profits or lost opportunities. Nothing in these terms limits liability that cannot be limited by law.

11. Use of this website

The content of this website is ours or licensed to us. You may read and share links to it, but may not copy it for commercial use without permission. We try to keep the site accurate and available but do not promise that it will always be error free.

12. Disputes and governing law

If something goes wrong, please contact us first at info@steinandday.com and we will try to resolve it. These terms are governed by the laws of the State of New York, United States, and disputes will be handled in the courts of New York County, New York, unless the law where you live gives you other rights.

13. Changes

We may update these terms. The version in force when you accept a quote applies to that project. The date at the top shows when this page last changed.
